These Terms of Service ("Terms") constitute a legally binding agreement between you and SolvedIt Inc. ("SolvedIt," "we," "us," or "our") governing your access to and use of the SolvedIt website, mobile applications, communications tools, content, products, services, and platform (collectively, the "Service").

By accessing, browsing, registering for, creating an account on, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you may not access or use the Service.

If you use the Service on behalf of a corporation, partnership, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

SolvedIt reserves the right to modify, update, or replace these Terms at any time in its sole discretion. Any revised Terms will be posted on the Service and will become effective immediately upon posting unless otherwise specified. Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. If you do not agree to any changes, you must discontinue use of the Service.

To use the Service, you must be at least eighteen (18) years of age, have reached the age of majority in your jurisdiction of residence, possess the legal capacity to enter into binding agreements, and comply with all applicable laws and regulations.

The Service is intended for homeowners, renters, tenants, occupants, property managers, and other individuals seeking guidance, troubleshooting assistance, educational support, or expert consultation through the platform. SolvedIt reserves the right to deny access to the Service to any individual or entity at its sole discretion.

Certain features of the Service require the creation of a user account. When creating an account, you agree to provide accurate, complete, and current information and to maintain the accuracy of that information at all times. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to notify SolvedIt immediately of any unauthorized access to or use of your account. SolvedIt shall not be responsible for any losses arising from your failure to safeguard your account credentials.

SolvedIt reserves the right to suspend, restrict, or terminate any account at any time and for any reason, including but not limited to suspected fraud, misuse of the Service, violations of these Terms, or safety concerns.

Individuals seeking to provide guidance, recommendations, troubleshooting assistance, or consultation through the Service ("Experts") may be required to complete registration, identity verification, credential verification, licensing verification, interviews, onboarding procedures, or other screening processes as determined by SolvedIt.

SolvedIt may, but is not obligated to, verify an Expert's identity, professional experience, credentials, licenses, certifications, insurance coverage, references, or background information. Experts acknowledge and agree that all information provided to SolvedIt must be accurate, complete, and current.

SolvedIt reserves the right, in its sole discretion, to approve, reject, suspend, restrict, or remove any Expert account at any time and for any reason.

Subject to these Terms, SolvedIt grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service solely for its intended purposes. We reserve the right to modify, suspend, discontinue, restrict, or remove any aspect of the Service at any time without notice or liability.

SolvedIt does not guarantee that the Service will always be available, uninterrupted, secure, or error-free. From time to time, maintenance, technical issues, upgrades, or circumstances beyond our control may result in temporary interruptions.

Users may not copy, distribute, reproduce, modify, reverse engineer, scrape, harvest, or otherwise exploit any portion of the Service except as expressly permitted by SolvedIt.

SolvedIt operates a technology platform that enables users seeking assistance ("Customers") to connect with independent Experts who provide guidance, troubleshooting assistance, educational support, recommendations, opinions, and information through video, audio, messaging, image sharing, screen sharing, and other communication tools available through the Service.

SolvedIt is not a contractor, repair company, engineering firm, construction company, inspection company, home services company, trade services provider, or professional services firm. SolvedIt does not perform repairs, installations, maintenance, inspections, construction work, electrical work, plumbing work, HVAC work, landscaping services, or any other physical work whatsoever.

Experts provide information and guidance only. Any physical work performed by a Customer, whether based on information obtained through the Service or otherwise, is undertaken entirely at that Customer's own risk.

Each consultation conducted through the Service constitutes a separate arrangement between the Customer and the Expert. SolvedIt is not a party to any agreement formed between Customers and Experts and does not supervise, direct, control, or manage the advice provided during consultations.

Customers acknowledge and agree that Experts are independent service providers and that SolvedIt does not guarantee the accuracy, completeness, legality, usefulness, or effectiveness of any advice, recommendation, diagnosis, opinion, or guidance provided through the Service. Customers remain solely responsible for evaluating all information received and determining whether and how to act upon such information.

SolvedIt is not an emergency service and must not be relied upon in situations involving immediate threats to life, health, safety, property, or the environment. This includes, without limitation, circumstances involving fire, gas leaks, carbon monoxide, electrical emergencies, flooding, structural instability, medical emergencies, criminal activity, or any situation where delay could result in injury, death, or significant property damage.

Users must immediately contact appropriate emergency responders, utility providers, licensed professionals, or governmental authorities where applicable. SolvedIt assumes no responsibility or liability for a user's failure to seek appropriate emergency assistance.

Certain activities discussed through the Service may require permits, inspections, licenses, certifications, or professional qualifications under applicable laws. SolvedIt does not guarantee that any Expert possesses any specific qualification, certification, license, permit, insurance coverage, or professional designation unless expressly stated.

Users are solely responsible for determining whether a licensed professional, permit, inspection, or other regulatory requirement applies to their situation. Nothing provided through the Service constitutes engineering advice, architectural advice, legal advice, accounting advice, financial advice, medical advice, mental health advice, or any other regulated professional service.

SolvedIt makes no representation, warranty, or guarantee that any advice, recommendation, diagnosis, opinion, troubleshooting assistance, or information provided through the Service will be accurate, complete, suitable, effective, compliant with local laws or codes, or capable of resolving a particular issue.

Individual circumstances vary significantly, and outcomes may differ based on factors outside the control of SolvedIt and its Experts. Users assume all risk associated with implementing or relying upon information obtained through the Service.

The Service and all content, features, functionality, software, text, graphics, logos, trademarks, service marks, designs, interfaces, audio, video, documentation, and other materials made available through the Service are owned by SolvedIt, its licensors, or its content providers and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws.

Nothing contained in these Terms grants you ownership of any intellectual property rights associated with the Service. Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, publish, display, transmit, create derivative works from, reverse engineer, sell, license, or otherwise exploit any portion of the Service without the prior written consent of SolvedIt. All rights not expressly granted herein are reserved by SolvedIt.

The Service may allow users to upload, submit, transmit, record, display, store, or otherwise provide information, messages, photos, videos, screenshots, documents, reviews, ratings, comments, communications, and other materials ("User Content").

You retain ownership of any User Content that you submit to the Service. However, by submitting User Content, you grant SolvedIt a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, display, distribute, analyze, process, and otherwise use such User Content for purposes related to operating, improving, securing, supporting, marketing, and developing the Service.

You represent and warrant that you own or otherwise possess all rights necessary to submit your User Content and grant the rights described in these Terms. You further represent and warrant that your User Content does not violate any law, infringe any third-party rights, contain malicious code, or include false, misleading, defamatory, fraudulent, abusive, or otherwise unlawful material.

SolvedIt reserves the right, but not the obligation, to review, remove, restrict, edit, or refuse any User Content at any time and for any reason.

Users may submit ratings, reviews, comments, suggestions, recommendations, ideas, and other feedback regarding the Service, Experts, or SolvedIt's operations. Such content may be displayed publicly through the platform.

Users acknowledge that ratings and reviews may influence Expert visibility, rankings, eligibility, and participation within the Service. SolvedIt reserves the right to remove, moderate, edit, or refuse publication of any review or rating at its sole discretion.

Any feedback, suggestions, recommendations, or ideas submitted to SolvedIt may be used without restriction and without compensation to the submitting party. By providing such feedback, you grant SolvedIt a perpetual, irrevocable, worldwide, royalty-free right to use, modify, implement, commercialize, and otherwise exploit such feedback for any lawful purpose.

Certain features of the Service may require payment. By purchasing services through the platform, you authorize SolvedIt and its third-party payment processors to charge your selected payment method for all applicable fees, charges, taxes, deposits, subscriptions, credits, refunds, adjustments, and other amounts arising from your use of the Service.

All fees are stated in Canadian dollars unless otherwise specified. SolvedIt reserves the right to modify pricing, fees, payment structures, commission rates, promotional offers, or billing practices at any time.

Payment processing services may be provided by third-party providers, including Stripe or similar payment processors. Your use of such services may be subject to separate agreements imposed by those providers. SolvedIt is not responsible for the acts, omissions, errors, interruptions, security failures, or processing issues of any third-party payment provider.

From time to time, SolvedIt may offer waitlist programs, beta testing opportunities, early-access programs, promotional credits, referral incentives, or other marketing initiatives.

As part of such programs, users may be offered the opportunity to submit a refundable deposit to reserve priority access to the Service. Unless otherwise specified, a five dollar ($5.00 CAD) deposit shall remain fully refundable at any time before the user's first completed paid session on the platform.

Users participating in such programs may also receive promotional credits. Promotional credits have no cash value, are non-transferable, may not be redeemed for cash, and may expire in accordance with the terms of the applicable promotion. SolvedIt reserves the right to modify, suspend, discontinue, or revoke any promotional program, credit, or incentive at any time, subject to applicable law.

Except where required by applicable law, completed sessions are non-refundable. Promotional credits, referral credits, bonuses, and other incentives are non-refundable and have no cash value.

Refund requests relating to technical issues, billing errors, service disruptions, duplicate charges, or exceptional circumstances may be reviewed by SolvedIt on a case-by-case basis. Any refund decision shall be made in SolvedIt's sole discretion.

Nothing in these Terms is intended to limit any rights available to consumers under applicable consumer protection legislation.

To promote platform safety, quality assurance, dispute resolution, customer support, fraud prevention, compliance, training, and service improvement, SolvedIt may record, monitor, review, store, process, and analyze communications conducted through the Service.

Such communications may include video sessions, audio communications, text messages, chat logs, uploaded images, uploaded documents, screen sharing activities, support interactions, and associated metadata.

By using the Service, you expressly consent to the collection, recording, monitoring, storage, review, and processing of such communications to the extent permitted by applicable law. If you do not consent to these practices, you must discontinue use of the Service.

Users acknowledge that SolvedIt may collect, analyze, aggregate, anonymize, de-identify, and otherwise process information generated through operation of the Service for purposes including platform improvement, quality assurance, analytics, security, fraud prevention, product development, expert matching, customer support, training, research, and the development of future automation, machine learning, and artificial intelligence technologies.

Where reasonably practicable, SolvedIt may use aggregated, anonymized, or de-identified information for such purposes. Nothing in this section authorizes SolvedIt to sell personal information in violation of applicable privacy legislation.

Experts providing services through SolvedIt are independent contractors and not employees, agents, representatives, partners, joint venturers, franchisees, or legal representatives of SolvedIt.

Nothing contained in these Terms shall be interpreted as creating an employment relationship between SolvedIt and any Expert. Experts are solely responsible for their taxes, insurance, licensing obligations, certifications, regulatory compliance, professional obligations, and business expenses.

Experts acknowledge that they are responsible for determining and complying with all laws applicable to their activities through the platform.

From time to time, SolvedIt may facilitate introductions, referrals, recommendations, scheduling opportunities, or connections between users and third-party contractors, tradespeople, suppliers, businesses, or service providers.

Any referral or introduction is provided solely as a convenience to users. SolvedIt does not employ, supervise, direct, control, endorse, warrant, or guarantee any third-party provider and makes no representation regarding the quality, legality, safety, qualifications, licensing, insurance, reliability, pricing, or performance of any referred provider.

Any agreement entered into between a user and a third-party provider is solely between those parties. SolvedIt assumes no responsibility or liability arising from any such relationship.

Users may access and use the Service only for lawful purposes and in accordance with these Terms.

You agree not to use the Service to violate any law, infringe any third-party rights, harass or threaten others, impersonate another person, submit false information, misrepresent credentials, distribute malware, interfere with platform operations, gain unauthorized access to systems, scrape platform data, reverse engineer the Service, engage in fraud, promote illegal activities, or otherwise misuse the Service.

Users further agree not to seek, provide, encourage, or facilitate guidance relating to criminal activity, violence, dangerous conduct, fraud, weapon construction, unlawful activity, or any conduct prohibited by applicable law.

SolvedIt is committed to maintaining a safe, respectful, and professional environment for all users. Users are expected to engage with one another in a manner that is respectful, constructive, and lawful.

SolvedIt reserves the right to suspend, restrict, remove, or permanently ban any user or Expert whose conduct, in SolvedIt's sole judgment, creates safety concerns, violates these Terms, undermines platform integrity, involves harassment or discrimination, promotes dangerous activity, or otherwise negatively affects the Service or its users.

Such actions may be taken with or without notice and without liability to SolvedIt.

The Service may contain links to third-party websites, products, services, applications, advertisements, integrations, or content that are not owned or controlled by SolvedIt.

SolvedIt does not endorse, control, or assume responsibility for any third-party services and makes no representation or warranty regarding their availability, legality, security, reliability, or suitability.

Your interactions with third-party providers are solely between you and the applicable third party, and SolvedIt shall have no liability arising from such interactions.

YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

THE SERVICE IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS WITHOUT ANY REPRESENTATION, WARRANTY, CONDITION, OR GUARANTEE OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLVEDIT DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUALITY, ACCURACY, RELIABILITY, SECURITY, AVAILABILITY, OR PERFORMANCE.

SOLVEDIT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, ACCURATE, COMPLETE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. SOLVEDIT DOES NOT GUARANTEE THAT ANY INFORMATION, RECOMMENDATION, GUIDANCE, TROUBLESHOOTING ASSISTANCE, DIAGNOSIS, OPINION, OR ADVICE PROVIDED THROUGH THE SERVICE WILL BE CORRECT, COMPLETE, EFFECTIVE, SUITABLE, SAFE, OR COMPLIANT WITH APPLICABLE LAWS, BUILDING CODES, SAFETY STANDARDS, OR REGULATORY REQUIREMENTS.

WITHOUT LIMITING THE FOREGOING, SOLVEDIT MAKES NO REPRESENTATION OR WARRANTY REGARDING ANY EXPERT, INCLUDING THEIR EXPERIENCE, QUALIFICATIONS, LICENSING, CERTIFICATIONS, INSURANCE, KNOWLEDGE, RELIABILITY, OR ABILITY TO RESOLVE A USER'S ISSUE.

ANY DECISION TO ACT UPON INFORMATION OBTAINED THROUGH THE SERVICE IS MADE SOLELY AT THE USER'S OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLVEDIT, ITS AFFILIATES, DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, AGENTS, ADVISORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES OF ANY KIND.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED AND INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PROPERTY DAMAGE, PERSONAL INJURY, DEATH, REPAIR COSTS, REPLACEMENT COSTS, CODE VIOLATIONS, REGULATORY PENALTIES, PERMIT ISSUES, CONSTRUCTION DEFECTS, OR ANY OTHER FINANCIAL OR NON-FINANCIAL LOSS.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SOLVEDIT SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM OR RELATING TO:

(a) INFORMATION, RECOMMENDATIONS, OPINIONS, OR GUIDANCE PROVIDED THROUGH THE SERVICE;

(b) ACTIONS TAKEN OR NOT TAKEN BY USERS BASED ON INFORMATION OBTAINED THROUGH THE SERVICE;

(c) DIY PROJECTS, HOME REPAIRS, INSTALLATIONS, MODIFICATIONS, ALTERATIONS, OR MAINTENANCE ACTIVITIES;

(d) PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH;

(e) ACTS OR OMISSIONS OF EXPERTS;

(f) ACTS OR OMISSIONS OF THIRD-PARTY CONTRACTORS OR SERVICE PROVIDERS;

(g) UNAUTHORIZED ACCESS TO ACCOUNTS OR DATA;

(h) SERVICE INTERRUPTIONS, DELAYS, FAILURES, OR OUTAGES; OR

(i) ANY OTHER MATTER RELATING TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLVEDIT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED CANADIAN DOLLARS (CAD $100.00) OR THE TOTAL FEES ACTUALLY PAID BY YOU TO SOLVEDIT DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

CERTAIN JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. TO THE EXTENT SUCH LIMITATIONS ARE PROHIBITED BY APPLICABLE LAW, SOME PORTIONS OF THIS SECTION MAY NOT APPLY.

Users acknowledge that home repairs, maintenance activities, installations, construction projects, DIY activities, and similar tasks inherently involve risks, including risks of property damage, bodily injury, serious injury, disability, and death.

By using the Service, users voluntarily assume all risks associated with performing, supervising, directing, attempting, or relying upon any task, project, recommendation, or guidance discussed through the Service.

Users acknowledge that SolvedIt cannot evaluate the specific conditions, equipment, materials, hazards, building systems, code requirements, or environmental circumstances present at a user's location and therefore cannot guarantee the safety or appropriateness of any recommendation.

You agree to defend, indemnify, and hold harmless SolvedIt, its affiliates, directors, officers, shareholders, employees, contractors, advisors, licensors, successors, and assigns from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:

your use of the Service;

your violation of these Terms;

your User Content;

your interactions with Experts or other users;

your reliance upon information obtained through the Service;

your performance of any repair, installation, maintenance, construction, or DIY activity; or

your violation of any applicable law, regulation, permit requirement, building code, safety code, or professional licensing requirement.

This indemnification obligation shall survive termination of these Terms and your use of the Service.

In the event of any dispute, claim, controversy, or disagreement arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through good-faith negotiations.

Users agree to provide written notice of any claim by contacting SolvedIt and allowing at least sixty (60) days for informal resolution before commencing legal proceedings or arbitration.

The parties shall make reasonable efforts to resolve disputes efficiently and cost-effectively before pursuing formal proceedings.

To the fullest extent permitted by law, any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the relationship between the parties shall be resolved by final and binding arbitration.

The arbitration shall take place in Toronto, Ontario, Canada and shall be conducted in English by a single arbitrator in accordance with the applicable arbitration rules in force at the time of the dispute.

The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, enforceability, applicability, formation, or validity of these Terms.

The parties agree that arbitration shall be conducted solely on an individual basis. Class actions, representative proceedings, consolidated actions, and collective proceedings are expressly prohibited to the maximum extent permitted by law.

Nothing in this section shall prevent either party from seeking injunctive relief or equitable remedies where necessary to protect intellectual property rights, confidential information, or other legal rights.

These Terms and any dispute arising from or relating to the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to the arbitration provisions contained in these Terms, the parties irrevocably submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

Your use of the Service is also governed by SolvedIt's Privacy Policy, which describes how SolvedIt collects, uses, stores, discloses, and protects personal information.

By using the Service, you consent to the collection, use, disclosure, retention, and processing of personal information in accordance with the Privacy Policy and applicable laws.

SolvedIt is committed to complying with applicable privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy laws.

By creating an account, joining a waitlist, submitting a form, making a purchase, participating in promotions, or otherwise interacting with SolvedIt, you consent to receive electronic communications relating to your account, transactions, platform activity, security notices, service announcements, product updates, and other operational communications.

Where required by applicable law, including Canada's Anti-Spam Legislation (CASL), SolvedIt will obtain the appropriate consent before sending commercial electronic messages. Users may withdraw marketing consent at any time through available unsubscribe mechanisms or by contacting SolvedIt directly.

Withdrawal of marketing consent does not affect SolvedIt's ability to send transactional, service-related, security-related, or legally required communications.

SolvedIt reserves the right to suspend, restrict, deactivate, or terminate access to the Service at any time and for any reason, with or without notice.

Users may discontinue use of the Service and close their accounts at any time.

Upon termination, all rights granted under these Terms shall immediately cease. Provisions relating to intellectual property, liability limitations, indemnification, dispute resolution, arbitration, payment obligations, and any other provisions that by their nature should survive termination shall remain in effect.

SolvedIt shall not be liable for any delay, interruption, failure, or inability to perform any obligation arising from causes beyond its reasonable control, including natural disasters, fires, floods, pandemics, public health emergencies, labour disputes, internet failures, telecommunications failures, cyberattacks, utility failures, government actions, civil unrest, war, terrorism, transportation disruptions, or failures of third-party service providers.

These Terms, together with the Privacy Policy and any additional policies incorporated by reference, constitute the entire agreement between you and SolvedIt regarding the Service and supersede all prior agreements, understandings, and communications relating to the subject matter herein.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

The failure of SolvedIt to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

You may not assign or transfer your rights under these Terms without SolvedIt's prior written consent. SolvedIt may assign its rights and obligations under these Terms without restriction.

These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
